Ownership of Program Inventions. The inventors of any Program Inventions developed hereunder will be determined in accordance with Title 35 of the United States Code. Ownership shall follow the invention assignment obligations of each inventor. Program Inventions made, conceived and/or reduced to practice under this Agreement which are made or invented solely by ▇▇▇▇ ▇▇▇▇▇ and its employees shall be owned solely by ▇▇▇▇ ▇▇▇▇▇ (“▇▇▇▇ ▇▇▇▇▇ Inventions”). Program Inventions made, conceived and/or reduced to practice under this Agreement which are made or invented solely by Sponsor and its employees shall be owned solely by Sponsor (“Sponsor Inventions”). Program Inventions made, conceived and/or reduced to practice under this Agreement which are made or invented jointly by the parties shall be owned jointly by ▇▇▇▇ ▇▇▇▇▇ and Sponsor (“Joint Inventions”). ▇▇▇▇ ▇▇▇▇▇ and Sponsor shall each have an undivided ownership interest in the Joint Inventions.
