OWNERSHIP OF PERCENTAGE INTERESTS. Visa owns a thirty percent (30%) Percentage Interest in the Company, and Visa has not assigned, pledged or otherwise transferred, directly or indirectly, such Percentage Interest, and has not entered into any agreement of any kind relating to any such assignment, pledge or transfer. Upon completion of the transfer contemplated by this Agreement, Yahoo will own such Percentage Interest free and clear of all liens, charges or encumbrances of any kind.
