Except for Permitted Encumbrances and the liens permitted by the Bond Lease, Mortgagor owns the Mortgaged Property free from all Liens, except the Permitted Encumbrances and has good and marketable leasehold interest in the Equipment leased under the Bond Lease. To the best of Mortgagor’s knowledge, all applicable zoning, environmental, land use, subdivision, building, fire, safety and health laws, statutes, ordinances, codes, rules, regulations and requirements affecting the Mortgaged Property permit the current use and occupancy thereof and Mortgagor’s intended use and occupancy of the Mortgaged Property upon substantial completion of the Project, and Mortgagor has obtained all consents, permits and licenses required for such use and intended use. Mortgagor has examined and is familiar with all applicable covenants, conditions, restrictions and reservations, and with all applicable laws, statutes, ordinances, codes and governmental rules, regulations and requirements affecting the Mortgaged Property, and to the best of Mortgagor’s knowledge, the Mortgaged Property complies in all material respects with all of the foregoing.
