Other Terms; Usage Sample Clauses
The 'Other Terms; Usage' clause defines how additional terms and the general usage of terms within the agreement are to be interpreted and applied. It typically clarifies that any terms not specifically addressed elsewhere in the contract are governed by this section, and may also explain how industry-specific language, customary practices, or prior dealings influence the interpretation of the agreement. This clause ensures that ambiguities are minimized and that both parties have a clear understanding of how undefined or supplementary terms should be handled, thereby promoting consistency and reducing the risk of disputes over interpretation.
Other Terms; Usage. All accounting terms not specifically defined herein shall be construed in accordance with GAAP. All terms used in Article 9 of the UCC in the State of New York, and not specifically defined herein, are used herein as defined in such Article 9. Unless the context otherwise requires, “or” means “and/or,” and “including” (and with correlative meaning “include” and “includes”) means including without limiting the generality of any description preceding such term.
