OTHER PERMITTED INVESTMENT ASSETS FEE. The Advisor may receive as compensation for services rendered in connection with the investigation, selection, acquisition or origination of Other Permitted Investments a fee (the "Other Permitted Investment Assets Fee") that shall be negotiated in good faith by the Advisor and the Company and approved by the Board (including a majority of the Independent Directors) on a case by case basis; provided that such compensation shall be on terms not more favorable, taken as a whole, than what the Advisor receives in respect of investments in Properties and Loans.
