Other Interfaces. If the Class Year XXXX Project degrades the transfer capability of any one of the Other Interfaces below the transfer capability identified in the current ATBA, then the Developer will pay its pro rata share of one hundred percent (100%) of the cost of the System Deliverability Upgrades needed to restore the transfer capability of the Other Interfaces degraded by its proposed Project to what the transfer capability of those Other Interfaces would have been without its Project, as that transfer capability was measured in the current ATBA. Where two or more Projects would cause degradation of an Other Interface’s transfer capability, the cost of the necessary System Deliverability Upgrades to restore the original transfer capability of the interface shall be shared on a pro rata basis, based on the MW of degradation that each Project would cause.

Other Interfaces. Client may request and use other interfaces with the Service that are not Standard Interfaces (“Other Interfaces”) and are not included as of the Effective Date. Client may request Other Interfaces, provided such requests will be deemed Change Requests for additional Services under the Agreement and mutually agreed under one or more Statements of Work under the Agreement and with reference to this Schedule.

Rambus shall have the right to sublicense (without any right of its sublicensees to further sublicense except to their Subsidiaries) its rights under the Intel Patents to Rambus Licensees but only to the same extent Rambus has licensed such Rambus Licensee under Rambus' and its Subsidiaries' intellectual property rights (other than trademarks) necessary to implement the Other Interface, provided that such sublicense shall exclude use of the Compliant Portion in products other than Rambus Licensed Integrated Circuits.
