Common use of Other Exchanges Clause in Contracts

Other Exchanges. In the event that a beneficial interest in a Global Note is exchanged for Notes in definitive registered form pursuant to Section 2.10, prior to the effectiveness of a Shelf Registration Statement with respect to such Notes, such Notes may be exchanged only in accordance with such procedures as are substantially consistent with the provisions of clauses (ii) and (iii) above (including the certification requirements intended to ensure that such transfers comply with Rule 144A, Rule 144, Regulation S or any other available exemption from registration, as the case may be) and such other procedures as may from time to time be adopted by the Company.

Other Exchanges. In the event that a beneficial interest in a Global Note is exchanged for Notes a certificated Note in definitive registered form pursuant to Section 2.10, prior to the effectiveness of a Shelf Registration Statement with respect to such Notes, such Notes may be exchanged only in accordance with such procedures as are substantially consistent with the provisions of clauses (ii) and through (iiiv) above (including the certification requirements intended to ensure that such transfers comply with Rule 144A, Rule 144, Regulation S or any other available exemption from registration, as the case may be) and such other procedures as may from time to time be adopted by the Company.

In the event that a beneficial interest in a Global Note is exchanged for Notes in definitive registered form pursuant to Section 2.10, 2.10 prior to the effectiveness of a Shelf Registration Statement contemplated by and in accordance with the terms of the Registration Rights Agreement with respect to such Notes, such Notes may be exchanged only in accordance with such procedures as are substantially consistent with the provisions of clauses (ii2) and (iii3) above (including the certification requirements intended to ensure that such transfers comply with Rule 144A, Rule 144, 144A or Regulation S or any other available exemption from registrationunder the Securities Act, as the case may be) and such other procedures as may from time to time be adopted by the Company.

In the event that a beneficial interest in a Global Note is exchanged for Notes a certificated Note in definitive registered form pursuant to Section 2.102.11, prior to the effectiveness of a Shelf Registration Statement with respect to such Notes, such Notes may be exchanged only in accordance with such procedures as are substantially consistent with the provisions of clauses (ii) and through (iiiv) above (including the certification requirements intended to ensure that such transfers comply with Rule 144A, Rule 144, Regulation S or any other available exemption from registration, as the case may be) and such other procedures as may from time to time be adopted by the Company.

In the event that a beneficial interest in a Global Note is exchanged for Notes in definitive certificated, registered form pursuant to Section 2.102.09, prior to the consummation of a Registered Exchange Offer or the effectiveness of a Shelf Registration Statement with respect to such Notes, such Notes may be exchanged only in accordance with such procedures as are substantially consistent with the provisions of clauses (ii) and (iii) above (including the certification requirements intended to ensure that such transfers comply with Rule 144A, Rule 144, 144A or Regulation S or any other available exemption from registrationunder the Securities Act, as the case may be) and such other procedures as may from time to time be adopted by the CompanyIssuer.
