Common use of Other Exchanges Clause in Contracts

Other Exchanges. In the event that a Global Security is exchanged for Securities in definitive registered form pursuant to Section 2.10, prior to the effectiveness of a Shelf Registration Statement with respect to such Securities, such Securities may be exchanged only in accordance with such procedures as are substantially consistent with the provisions of clauses (ii) and (iii) above (including the certification requirements intended to ensure that such transfers comply with Rule 144A or Regulation S under the Securities Act, as the case may be) and such other procedures as may from time to time be adopted by the Company.

Other Exchanges. In the event that a Global Security is Securities are exchanged for Securities in definitive registered form pursuant to Section 2.10, 2.8 prior to the effectiveness of a Shelf Registration Statement with respect to such Securities, such Securities may be exchanged only in accordance with such procedures as are substantially consistent with the provisions of clauses clause (ii) and (iiia) above (including the certification requirements intended to ensure that such transfers comply with Rule 144A or Regulation S under the Securities ActS, as the case may be) and such other procedures as may from time to time be adopted by the Company.

Other Exchanges. In the event that a Global Security is exchanged for Securities in definitive registered form pursuant to Section 2.10, 2.10 prior to the effectiveness of a Shelf Registration Statement contemplated by and in accordance with the terms of the Registration Rights Agreement with respect to such Securities, such Securities may be exchanged only in accordance with such procedures as are substantially consistent with the provisions of clauses (ii2) and (iii3) above (including the certification requirements intended to ensure that such transfers comply with Rule 144A or Regulation S under the Securities Act, as the case may be) and such other procedures as may from time to time be adopted by the CompanyIssuer.
