Common use of Other Conveyances Clause in Contracts

Other Conveyances. (a) Prior to the Closing Date, Seller shall and shall cause Seller Parent to assign, transfer and convey (or cause to be assigned, transferred and conveyed), without violation thereof, to one or more members of the Alkali Group, and such members of the Alkali Group shall accept and assume, all of Seller and Seller Parent’s rights and obligations under the Contracts set forth on Section 6.20 of the Company Disclosure Schedule, in each case, pursuant to a form of assignment approved by Purchaser (such approval not to be unreasonably withheld). (b) Seller shall not amend, waive or modify, or assign, transfer, convey or otherwise dispose of (or permit the amendment, waiver, modification, assignment, transfer, conveyance or other disposition of) any of the rights, title and interests under, the Contracts listed on Section 6.20 of the Seller Disclosure Schedule other than pursuant to this Section 6.20.
