The shares of SNELLING Common Stock issuaxxx xx xhe Stockholders and the consultants pursuant to this Agreement, when issued, will be duly authorized and validly issued, fully paid and nonassessable and free of any preemptive rights and will be eligible to be quoted on the OTCBB. There has been no stop order issued by any regulatory authority including, without limitation, the NASD, the SEC or any state regulatory authority relating to SNELLING or the SNELLING Cxxxxx Xxock and SNXXXXXX has not received axx xxxxxe of any investigation or other proceeding that could result in any stop order.

The Company is not in violation of the quotation requirements of the Over-the-Counter Bulletin Board (the "OTCBB") and does not reasonably anticipate that the Common Stock will be removed by the OTCBB in the foreseeable future.
