OTAs. Sellers and Purchaser (or its designee) shall have entered into the OTAs, the OTAs shall be in full force and effect, and the consummation of the transactions contemplated by the OTAs shall occur simultaneously with the Closing under this Agreement.

OTAs. Seller and Purchaser (or its designee) shall have entered into the OTAs; the OTAs shall be in full force and effect; and the consummation of the transactions contemplated by the OTAs shall occur simultaneously with the Closing. If Seller and Purchaser are unable to agree upon the Severance Pay Program (as contemplated and defined in the OTAs), Purchaser may terminate this Agreement and the Deposit shall be returned to Purchaser.
