Common use of Organizational Documents of the Surviving Corporation Clause in Contracts

Organizational Documents of the Surviving Corporation. (a) At the Effective Time, subject to Section 5.9, the articles of incorporation of Merger Sub, as in effect immediately prior to the Effective Time, shall be the articles of incorporation of the Surviving Corporation until thereafter amended in accordance with the provisions thereof and applicable Law (except as to the name of the Surviving Corporation, which shall be RTI International Metals, Inc.).

Organizational Documents of the Surviving Corporation. (a) At the Effective Time, subject to Section 5.9, the articles of incorporation of Merger Sub, the Company as in effect immediately prior to the Effective TimeTime shall, by virtue of the Merger and the Certificate of Merger, be amended and restated in their entirety to be in the form of Exhibit A attached hereto and, as so amended, shall be the articles of incorporation of the Surviving Corporation until from and after the Effective Time, and thereafter may be amended as provided therein or by Law, in accordance each case consistent with the provisions thereof and applicable Law (except as to the name of the Surviving Corporation, which shall be RTI International Metals, Inc.)obligations set forth in Section 5.8.
