Common use of Organization of Seller Clause in Contracts

Organization of Seller. Seller is duly organized, validly existing and in good standing under the laws of its state of formation and qualified as a foreign partnership to do business in the states where the Properties are located. Seller has taken all necessary action to authorize the execution and delivery of this Agreement, and upon receipt of the Proxy Consent and the consents and approvals required by all applicable Governmental Requirements, Seller shall be authorized to perform its obligations under this Agreement and to execute and deliver the documents, instruments and agreements provided for under this Agreement.

Organization of Seller. (a) Seller is duly organized, validly existing and in good standing under the laws and jurisdiction of its state of formation incorporation and qualified has all requisite power and authority to own the Assets and to carry on the Business as a foreign partnership to do business in the states where the Properties are located. Seller has taken all necessary action to authorize the execution and delivery of this Agreementpresently conducted, and upon receipt of the Proxy Consent and the consents and approvals required by all applicable Governmental Requirements, Seller shall be authorized to perform its obligations under this Agreement and to execute and deliver this Agreement and the documents, other agreements and instruments to be executed and agreements provided for under delivered by the parties pursuant to this Agreement, including without limitation the agreements and instruments listed as Exhibits hereto (the "Ancillary Agreements"), and to consummate the transactions contemplated hereby and thereby.

Organization of Seller. Seller is duly organizedorganized or incorporated, as applicable, and validly existing and in good standing under the laws of its state of formation organization or incorporation, as applicable, and has all requisite power and authority to own, lease and operate its assets and to carry on its business as now being conducted. Seller is duly qualified as a foreign partnership or licensed to do business and is in good standing in each jurisdiction in which the states where property owned, leased or operated by it or the Properties are located. Seller has taken all necessary action to authorize the execution and delivery of this Agreement, and upon receipt nature of the Proxy Consent and the consents and approvals required business conducted by all applicable Governmental Requirements, Seller shall be authorized to perform its obligations under this Agreement and to execute and deliver the documents, instruments and agreements provided for under this Agreementit makes such qualification or licensing necessary. The Companies are wholly-owned Subsidiaries of Seller.
