Organization Documents; Good Standing. The Agent shall have received the certificate of limited partnership of MMP, and the articles of organization of Midstream and Logistics and each Guarantor, each as in effect on the Closing Date, and each certified by the Secretary of State of each such Person’s state of organization, the Partnership Agreement of MMP, certified by the General Partner, and the Regulations or Operating Agreement of Midstream, Logistics and each Guarantor, certified by its managing member, each certified as of, or reasonably close to, the Closing Date, and evidence satisfactory to the Agent, that each Co-Borrower or Guarantor is in good standing under the laws of its state of organization;
