Common use of Organization and Filing Clause in Contracts

Organization and Filing. The Sole Member shall timely execute (or authorize one or more other persons to execute) all appropriate amendments to the articles of organization, and all other certificates, articles, applications, and other documents that are needed to accomplish all filing, recording, publishing and other acts necessary or appropriate to comply with all requirements for the initial and continued operation of the Company pursuant to this Agreement under the laws of every jurisdiction in which the Company is formed or does business.
