Common use of Orders, Etc Clause in Contracts

Orders, Etc. As of the date of this Agreement, no order suspending the sale or ceasing the trading of the Common Shares, the sale of the Debentures or the exercise of the conversion rights contained therein or the Conversion Shares, has been issued by any court, securities commission or regulatory authority in Canada or the United States, and no proceedings for such purpose are pending or, to the knowledge of the Responsible Officers of the Corporation, threatened.
