ORDER MODIFICATION. Tri-State may notify Seller of changes to the Services and subsequently confirm such changes in writing. If the price or time required for performance is affected, Tri-State shall equitably adjust the price or time, as applicable. No change by Seller shall be recognized without written approval of Tri-State. Seller must make a written claim for an adjustment to the performance period or price within 10 days from the date of receipt of notice of a change in the Services. Nothing in this Section shall excuse Seller from proceeding with performance of the Services as modified by Tri-State.

An order of the Bankruptcy Court shall be entered in any of the Chapter 11 Cases amending, supplementing, modifying, staying for a period in excess of ten (10) days, reversing, vacating or otherwise modifying any of the Orders or any DIP Loan Document, or any GC Party shall apply for authority to do so, absent the prior written consent of the DIP Agents and the DIP Lenders.

If the Buyer requests changes to the signed Quote, the delivery date, or any other changes which, in the Seller’s judgment, impacts its costs, risks or other matters, then the Buyer and Seller must agree to the changes or the order shall be deemed cancelled in accordance with Section 4. The parties shall have a reasonable time to agree to any changes proposed by the Buyer and agree upon a new delivery date caused by these changes.

ORDER MODIFICATION. The Customer may specify or modify the types and quantities of items listed in Customer’s Order until 14 days before the Event Date without incurring a modification fee. If Customer makes an order modification within 14 days of the Event Date, then Caterer will charge an additional % to Order Total due on Final Payment.
ORDER MODIFICATION. DJO may at any time, by written notice to Supplier, make changes in the specifications and quantities in an Order. Supplier shall notify DJO within 10 days if any such change increases or decreases Supplier's cost of performing the Order or the time required for Supplier's performance, in which case an equitable adjustment shall be agreed upon in writing by the Parties. Any stenographic or clerical errors of DJO in any Order are subject to correction by DJO.
ORDER MODIFICATION. Order modifications or stop deliveries are subject to Seller’s written approval. Prices are subject to renegotiation at Seller’s option when manufacturing schedules are modified, or where parts must be manufactured in smaller and/or less economical lot sizes. Seller reserves the right to pass raw material cost increases through to Buyer if longer than anticipated delivery periods.
