Optional Units Sample Clauses

Optional Units at the purchase price per unit set forth in the paragraph above, for the sole purpose of covering overallotments in the sale of the Firm Units. Any such election to purchase Optional Units may be exercised only by written notice from you to the Partnership, given within a period of 30 calendar days after the date of this Agreement and setting forth the aggregate number of Optional Units to be purchased and the date on which such Optional Units are to be delivered, as determined by you but in no event earlier than the First Time of Delivery (as defined in Section 4 hereof) or, unless you and the Partnership otherwise agree in writing, earlier than two or later than ten business days after the date of such notice.

Optional Units. Full Partners are encouraged to offer full access to any relevant unit modules taught in English to the Student. Optional Units. On the basis of the representations, warranties and agreements contained in, and subject to the terms and conditions of, this Agreement, the 2 Company hereby grants to the Underwriter an option to sell on behalf of the Company all or any part of the Optional Units at the same price per Unit set forth in Section 1.1 (the "over-allotment option"). The over-allotment option may be exercised in whole or in part at any time or times on or before 12:00 noon, Eastern Time, on the day before the Initial Closing Date (as defined in Section 2 below), and only once at any time after that date and within 45 days after the Initial Closing Date (or, if such 45th day shall be a Saturday or Sunday or a holiday, on the next business day thereafter when the New York Stock Exchange is open for trading), in each case upon written or telecopier notice, or verbal or telephonic notice confirmed by written or telecopier notice, by the Underwriter to the Company no later than 12:00 noon, Eastern Time, on the day before the Initial Closing Date or at least three days before the Optional Units Closing Date (as defined in Section 2 below), as the case may be, setting forth the number of Optional Units to be purchased and the time and date (if other than the Initial Closing Date) of such purchase.
