Common use of Optional Redemptions; Redemption Amount Clause in Contracts

Optional Redemptions; Redemption Amount. The Company may at any time redeem all or a portion of the Notes, in a minimum amount of $5,000,000 and integral multiples of $1,000,000, upon not less than 30 nor more than 60 days’ prior written notice, at a redemption price equal to the sum of (i) the Principal Amount of the Notes to be redeemed plus (ii) any accrued and unpaid interest with respect to the Principal Amount of the Notes to be redeemed and all other amounts due and payable under the Note Documents to the date of redemption plus (iii) the Make-Whole Amount (the sum of the amounts referred to in clauses (i) through (iii), above, being the “Redemption Amount”); provided that all of the First Lien Obligations must be satisfied in full before any of the Notes may be redeemed.
