Optimization Compounds Sample Clauses
The 'Optimization Compounds' clause defines which chemical compounds are considered as part of the optimization process within a research or development agreement. Typically, this clause specifies the criteria or characteristics that a compound must meet to be classified as an optimization compound, such as being derived from initial lead compounds or meeting certain activity thresholds. By clearly delineating which compounds fall under this category, the clause helps allocate rights, responsibilities, and potential benefits related to further development, ensuring clarity and preventing disputes over compound ownership or usage.
Optimization Compounds. Optimization Compounds, their structures and best methods of synthesis and manufacture developed during the Optimization Program shall be made available only to ICOS for research or application to any Optimization Target, within or outside the Collaboration, during the Optimization Period, and Array shall not work on or provide information regarding such Optimization Compound to any Third Party, except to take any steps necessary to protect ICOS's exclusivity hereunder.
