Common use of Opinions of Counsel to Credit Parties Clause in Contracts

Opinions of Counsel to Credit Parties. Agents and Lenders and their respective counsel shall have received originally executed copies of the customary written opinions of counsel for Credit Parties dated as of the Closing Date and in form and substance reasonably satisfactory to Administrative Agent and Arrangers (and each Credit Party hereby instructs such counsel to deliver such opinions to Agents and Lenders).

Opinions of Counsel to Credit Parties. Agents and Lenders and their respective counsel shall have received originally executed copies of the customary favorable written opinions of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for Credit Parties as to such matters as Administrative Agent or Arranger may reasonably request, dated as of the Closing Date and otherwise in form and substance reasonably satisfactory to Administrative Agent and Arrangers Arranger (and each Credit Party hereby instructs such counsel to deliver such opinions to Agents and Lenders).

Agents and Agents, Lenders and their respective counsel shall have received originally executed copies of the customary favorable written opinions of DLA Piper, counsel for Credit Parties as to such matters as Administrative Agent may reasonably request, dated as of the Closing Date and in form and substance reasonably satisfactory to Administrative Agent and Arrangers (and each Credit Party hereby instructs such counsel to deliver such opinions to Agents and Lenders).

Opinions of Counsel to Credit Parties. Agents and Lenders and their respective counsel shall have received originally executed copies of the customary favorable written opinions opinions, each dated the Closing Date, of Xxxxxx LLP, New York counsel for the Credit Parties dated Parties, in each case as of to such matters as the Closing Date Administrative Agent may reasonably request and in form and substance reasonably satisfactory to the Administrative Agent and Arrangers (and each Credit Party hereby instructs such counsel to deliver such opinions to the Agents and Lenders).

Agents and Lenders and their respective counsel shall have received originally executed copies of the customary favorable written opinions of Powell, Goldstein, Xxxxxx & Xxxxxx, LLP, counsel for Credit Parties Parties, in the form of Exhibit D and as to such other matters as the Agents may reasonably request, dated as of the Closing Date and otherwise in form and substance reasonably satisfactory to Administrative Agent and Arrangers the Agents (and each Credit Party hereby instructs such counsel to deliver such opinions to Agents and Lenders).
