Common use of Opinions of Counsel for the Company Clause in Contracts

Opinions of Counsel for the Company. At the request of the Company, (i) Xxxxxxx LLP, Maryland counsel for the Company, shall have furnished to the Representatives their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A-1 hereto, (ii) Xxxxxxxx Chance US LLP, special counsel for the Company, shall have furnished to the Representatives their written opinion (which written opinion shall include a 10b-5 opinion), dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A-2 hereto, and (iii) Xxxxxxxx Chance US LLP, counsel for the Company, shall have furnished to the Representatives their written tax opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A-3 hereto.

Opinions of Counsel for the Company. At the request of the Company, (i) Xxxxxxx LLP, Maryland counsel for the Company, shall have furnished to the Representatives Representative their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the RepresentativesRepresentative, to the effect set forth in Annex A-1 hereto, (ii) Xxxxxxxx Chance US LLP, special counsel for the Company, shall have furnished to the Representatives Representative their written opinion (which written opinion shall include a 10b-5 opinion), dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the RepresentativesRepresentative, to the effect set forth in Annex A-2 hereto, and (iii) Xxxxxxxx Chance US LLP, counsel for the Company, shall have furnished to the Representatives Representative their written tax opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the RepresentativesRepresentative, to the effect set forth in Annex A-3 hereto.

Opinions of Counsel for the Company. At the request of the CompanyGxxxxxxxx Txxxxxx, (i) Xxxxxxx LLPP.A., Maryland counsel for the Company, shall have furnished to the Representatives Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A-1 hereto. WSmiths, British Virgin Islands counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A-1 A-2 hereto, (ii) Xxxxxxxx Chance US . Winston & Sxxxxx LLP, special U.S. tax counsel for the Company, shall have furnished to the Representatives their written opinion (which written opinion shall include a 10b-5 opinion), dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to at the effect set forth in Annex A-2 hereto, and (iii) Xxxxxxxx Chance US LLP, counsel for request of the Company, shall have furnished to the Representatives their written tax opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A-3 hereto.
