The opinions of (i) Skadden, Arps, Slate, Mxxxxxx & Fxxx LLP, counsel for the Company and the Operating Partnership (ii) Skadden, Arps, Slate, Mxxxxxx & Fxxx LLP, tax counsel for the Company and the Operating Partnership, (iii) Debevoise & Pxxxxxxx LLP and (iv) Vxxxxxx LLP, in form and substance satisfactory to counsel for the Underwriters, dated such Option Closing Date, relating to the Option Securities to be purchased on such Option Closing Date and otherwise to the same effect as the opinions required by Section 5(c) hereof.
