Common use of Opinions of Bond Counsel Clause in Contracts

Opinions of Bond Counsel. ‌ . On the Closing Date, Seller shall, at its sole cost and expense, cause to be delivered to Buyer, the opinions of Bond Counsel, dated as of the Closing Date, addressed to the indenture trustee and paying agent under the Existing Bonds, in form and substance reasonably satisfactory to Buyer and its counsel and the indenture trustee and paying agent, to the effect that the transactions contemplated hereby and by the Financing Documents and the Lease will not impair the tax-exempt status of the Existing Bonds or constitute an event of default under any of the Existing Bonds (as applicable, the “Bond Counsel G.O. Bond Opinion” and the “Bond Counsel Revenue Bond Opinion”). The Bond Counsel G.O. Bond Opinion and the Bond Counsel Revenue Bond Opinions must also include opinions (or be accompanied by Seller’s corporate counsel opinions) as to due authorization and enforceability of this Agreement, the Financing Documents and the Lease.
