EQR and Wellsford shall have received the opinion of Xxxxxxx Xxxxx Xxxxxxx & Xxxxxxxxx to the effect that this Agreement and the Articles of Merger are enforceable under Maryland law, that all requisite approval of the Merger by the shareholders of EQR and Wellsford has been obtained, and as to such other matters as are customary in a transaction such as the Merger.
