Common use of Opinion of Counsel to the Underwriter Clause in Contracts

Opinion of Counsel to the Underwriter. The Underwriter shall have received an opinion and negative assurance letter, dated as of the Closing Time, from Xxxxxxxx & Xxxxxxxx LLP, counsel to the Underwriter, with respect to the Registration Statement, the Disclosure Package, the Prospectus and this Agreement, which opinion and negative assurance letter shall be reasonably satisfactory in all respects to the Underwriter.

Opinion of Counsel to the Underwriter. The Underwriter shall have received an opinion and negative assurance letter, dated as of the Closing TimeDate, from Xxxxxxxx & Xxxxxxxx Xxxxxxx Procter LLP, counsel to the Underwriter, with respect to the Registration Statement, the Disclosure Package, the Prospectus and this Agreement, which opinion and negative assurance letter shall be reasonably satisfactory in all respects to the Underwriter.

Opinion of Counsel to the Underwriter. The Underwriter shall have received an opinion and negative assurance letter, dated as of the Closing Time, from Xxxxxxxx & Xxxxxxxx Proskauer Rose LLP, counsel to the Underwriter, with respect to such opinion or opinions (including negative assurance), dated the Registration Statement, the Disclosure Package, the Prospectus Closing Date and this Agreement, which opinion and negative assurance letter shall be reasonably satisfactory in all respects addressed to the Underwriter, covering such matters as are customarily covered in transactions of this type.

The Underwriter shall have received an opinion and negative assurance letteropinion, dated as of the Closing TimeDate, from Cxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx Hxxxxxxx LLP, counsel to the Underwriter, with respect to the Registration Statement, the Disclosure Package, the Prospectus and this Agreement, which opinion and negative assurance letter shall be reasonably satisfactory in all respects to the Underwriter.
