Common use of Opinion of Counsel to the Loan Parties Clause in Contracts

Opinion of Counsel to the Loan Parties. The Administrative Agent shall have received (i) a written opinion (addressed to the Administrative Agent, the Issuing Lenders and the Lenders and dated the Second Restatement Effective Date) of Xxxxxx Xxxxxx & Xxxxxxx LLP, counsel for the Loan Parties, in form and substance reasonably satisfactory to the Administrative Agent, and (ii) if requested by the Administrative Agent, written opinions of such other counsel for the Loan Parties as is satisfactory to the Administrative Agent (addressed to the Administrative Agent, the Issuing Lenders and the Lenders and dated the Second Restatement Effective Date), in form and substance reasonably satisfactory to the Administrative Agent and covering such other matters relating to the Loan Parties, this Agreement or the Transactions as the Administrative Agent shall reasonably request (and the Company hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

The Administrative Agent shall have received (i) a written opinion (addressed to the Administrative Agent, the Issuing Lenders and the Lenders party hereto and dated the Second Restatement First Amendment Effective Date) of Xxxxxx Xxxxxx & Xxxxxxx LLP, counsel for the Loan Parties, in form and substance reasonably satisfactory to the Administrative Agent, and (ii) if requested by the Administrative Agent, written opinions of such other counsel for the Loan Parties as is satisfactory to the Administrative Agent (addressed to the Administrative Agent, the Issuing Lenders and the Lenders party hereto and dated the Second Restatement First Amendment Effective Date), in form and substance reasonably satisfactory to the Administrative Agent and covering such other matters relating to the Loan Parties, this Agreement First Amendment or the Transactions New Facilities as the Administrative Agent shall reasonably request (and the Company hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).
