Common use of Opinion of Counsel to the Loan Parties Clause in Contracts

Opinion of Counsel to the Loan Parties. The Administrative Agent shall have received a favorable written opinion (addressed to the Administrative Agent and the Lenders as of the Closing Date and dated as of the Closing Date) of Xxxxx & Xxxxxxx LLP, special counsel to the Loan Parties, in form and substance reasonably satisfactory to the Administrative Agent and covering such matters relating to the Loan Parties, this Agreement and the Transactions as the Administrative Agent shall reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Loan Parties. The Administrative Agent shall have received a favorable written opinion (addressed to the Administrative Agent and the Lenders as of the Closing Effective Date and dated as of the Closing Effective Date) of Xxxxx & Xxxxxxx Xxxxx LLP, special counsel to the Loan PartiesParties (or any other counsel reasonably acceptable to the Administrative Agent) in each case, in form and substance reasonably satisfactory to the Administrative Agent and covering such matters relating to the Loan Parties, this Agreement and or the Transactions as the Administrative Agent shall reasonably request (and the Lead Borrower hereby instructs such counsel counsels to deliver such opinion to the Lenders and the Administrative AgentAgents).

The Administrative Agent shall have received a favorable written opinion (addressed to the Administrative Agent Agent, the Issuing Lenders and the Lenders as of the Closing Date and dated as of the Closing Date) of Cravath, Swaine & Xxxxx & Xxxxxxx LLP, special counsel to for the Loan Parties, in form and substance reasonably satisfactory to the Administrative Agent and Agent, covering such other matters relating to the Loan Parties, this Agreement and or the Transactions as the Administrative Agent shall reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).
