Opinion of Counsel to Credit Parties. The Lender shall have received an opinion of counsel to the Credit Parties that is acceptable to the Lender, addressed to the Lender and dated the Closing Date, in form and substance satisfactory to the Lender and covering the matters set forth in Exhibit D to the Agreement (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons).
