Opinion of Counsel to Credit Parties. Lenders and their respective counsel shall have received originally executed copies of the favorable written opinion of Xxxxxx, Xxxx & Xxxxxxxx LLP, counsel for Credit Parties, in form and substance satisfactory to the Administrative Agent, dated as of the Closing Date (and each Credit Party hereby instructs such counsel to deliver such opinion to Agents and Lenders).

Opinion of Counsel to Credit Parties. Lenders and their respective counsel shall have received originally executed copies of the favorable written opinion of Xxxxxx, Xxxx & Xxxxxxxx LLP, outside counsel for Credit Parties, in the form and substance satisfactory to the Administrative Agentof Exhibit D, dated as of the Closing Date Date, addressed to Lenders and the Agents, and otherwise in form and substance reasonably satisfactory to Lenders and their respective counsel (and each Credit Party hereby instructs such counsel to deliver such opinion opinions to Agents and Lenders).
