Opinion of Counsel to Borrower. The Agent shall have received (i) an opinion of Xxxxxx Xxxx Xxxxxxxxx US LLP, counsel to the Loan Parties, as it pertains to matters of New York and Delaware law, (ii) an opinion of Xxxx Xxxxx Xxxxxxxx & Xxxx LLP, counsel to the Borrower and its Subsidiaries as it pertains to Pennsylvania law, and (iii) Norton Xxxx Xxxxxxxxx Canada LLP, counsel to the Canadian Parent as it pertains to matters of Ontario law, in each case, addressed to the Agent and the Lenders and dated the Closing Date, in form and substance satisfactory to the Agent (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons).
