Common use of Opinion of Counsel to Borrower Clause in Contracts

Opinion of Counsel to Borrower. The Administrative Agent shall have received an opinion of Xxxxx & Case LLP, counsel to the Borrower, addressed to the Administrative Agent and the Lenders and dated the Closing Date, in form and substance satisfactory to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons).

Opinion of Counsel to Borrower. The Administrative Agent shall have received an opinion of Xxxxx Winston & Case Xxxxxx LLP, counsel to the BorrowerBorrower and its Subsidiaries, addressed to the Administrative Agent Agent, the Lenders and the Lenders Issuing Banks and dated the Closing Date, in form and substance reasonably satisfactory to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons).

Opinion of Counsel to Borrower. The Administrative Agent shall have received an opinion of Xxxxx O’Melveny & Case Mxxxx LLP, counsel to the BorrowerGroup Members, addressed to the Administrative Agent and the Lenders and dated the Closing Initial Funding Date, in form and substance reasonably satisfactory to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons)Arranger.

Opinion of Counsel to Borrower. The Administrative Agent shall have received an opinion of Xxxxx & Case LLP, counsel to the Borrower, addressed to the Administrative Agent and the Lenders and dated the Closing Date, in form and substance satisfactory to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons).. 17

The Administrative Agent shall have received an opinion of Drinker, Xxxxxx & Xxxxx & Case LLP, counsel to the Borrower, addressed to the Administrative Agent and Agent, the Lenders and dated the Closing Date, in form and substance satisfactory to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons).

Opinion of Counsel to Borrower. The Administrative Agent shall have received an opinion of Xxxxx & Case Xxxxxxxxxx Xxxxxx LLP, counsel to the BorrowerXxxxxxxx, addressed to the Administrative Agent and the Lenders and dated the Closing Date, in form and substance satisfactory to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons).
