Common use of Opinion of Counsel for the Selling Stockholder Clause in Contracts

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Hogan Lovells US LLP, counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably request.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives Underwriter shall have received the favorable opinion, dated the Closing Time, of Hogan Lovells US Xxxxx Xxxx & Xxxxxxxx LLP, counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the UnderwritersUnderwriter, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C hereto B hereto, and to such further effect counsel shall have received such papers and information as counsel to the Underwriters they may reasonably requestrequest to enable them to pass upon such matters.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, Time the Representatives shall have received the favorable opinion, dated the as of Closing Time, of Hogan Lovells US LLPLiddell, counsel for the Sapp, Zivley, Hill & LaBoxx, X.L.P., Selling Stockholder's Counsel, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, to the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably requestB hereto.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives Representative shall have received the favorable opinion, dated the Closing Time, of Hogan Lovells US Xxxxxxxxx LLP, counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters in form reasonably satisfactory to counsel for the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably requestUnderwriters.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Hogan Lovells US Mourant Ozannes, counsel for the Selling Stockholder, and Kxxxxxxx & Exxxx LLP, special U.S. counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably requestB hereto.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives shall have received the favorable opinion, dated the as of Closing Time, of Hogan Lovells US LLPXxxxxxxx X. Xxxxxxxx, counsel for Associate General Counsel of the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C B-1 hereto and to such further effect as counsel to the Underwriters may reasonably request.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives shall have received the favorable opinion, dated the as of Closing Time, of Hogan Lovells US LLPTomotsune Kimura & Mitomi, counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C B hereto and to such further effect as counsel to the Underwriters may reasonably request.

Opinion of Counsel for the Selling Stockholder. Opinion of Counsel for the Selling Stockholder. At On each Closing Date, there shall have been furnished to you, as Representative of the Closing Timeseveral Underwriters, the Representatives shall have received the favorable opinionopinion and negative assurance letter, dated as of the applicable Closing TimeDate, of Hogan Lovells US O’Melveny & Xxxxx LLP, counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably requestyou.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Hogan Xxxxx Lovells US LLP, counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably request.

Opinion of Counsel for the Selling Stockholder. Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Hogan Lovells US Xxxxxxx Xxxxxxx LLP, counsel for the Selling Stockholder, shall have furnished to the Representatives, at the request of the Selling Stockholder, their written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably requestRepresentatives.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Hogan Lovells US Xxxxxx LLP, counsel for the Selling Stockholder, shall have furnished to the Representatives, at the request of the Selling Stockholder, their written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably requestRepresentatives.

At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Hogan Lovells US Fried, Frank, Harris, Xxxxxxx & Xxxxxxxx LLP, counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably requestif requested.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives shall have received the favorable opinion, dated the as of Closing Time, of Hogan Lovells US LLPXxxx, Xxxx & Xxxxx LLC, counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C B hereto and to such further effect as counsel to the Underwriters may reasonably request.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives shall have received the favorable opinion, dated the as of Closing Time, of Hogan Lovells US LLPCravath, Swaine & Moore, counsel for the Selling Stockholder, in form and substance reasonably substxxxx satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably request.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives Representative shall have received the favorable opinion, dated as of the Closing Time, of Hogan Lovells US Winston & Xxxxxx LLP, counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters with respect to the effect matters set forth in Exhibit C hereto and to such further effect as counsel to the Underwriters may reasonably requestB hereto.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Hogan Lovells US (i) Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP, United States counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the UnderwritersUnderwriters and (ii) Ogier, Guernsey counsel for the Selling Stockholder, together with signed or reproduced copies of such letter letters for each of the other Underwriters Underwriters, to the effect set forth in Exhibit C hereto E-1 and to such further effect as counsel to the Underwriters may reasonably requestExhibit E-2, respectively, hereto.
