Common use of Opinion of Counsel for the Selling Shareholders Clause in Contracts

Opinion of Counsel for the Selling Shareholders. On the Closing Date, counsel for each of the respective Selling Shareholders shall have furnished to the Representatives their written opinion, dated as of the Closing Date, in form and substance reasonably satisfactory to counsel for the Underwriters to the effect set forth on Exhibit D hereto and to such further effect as counsel for the Underwriters may reasonably request.

Opinion of Counsel for the Selling Shareholders. On the Closing DateKxxxxxxx & Exxxx LLP, as counsel for each of the respective Selling Shareholders Shareholders, shall have furnished to the Representatives their Representatives, its written opinion, opinion dated as of the Closing Date or the Option Closing Date, in form as the case may be, and substance reasonably satisfactory to counsel for the Underwriters addressed to the effect set forth on Underwriters, substantially in the forms attached as Exhibit D hereto and to such further effect F, as counsel for the Underwriters may reasonably requestapplicable, hereto.

Opinion of Counsel for the Selling Shareholders. On the Closing Date, the Representative shall have received the opinion of Fried, Frank, Harris, Xxxxxxx & Xxxxxxxx LLP, counsel for each of the respective Selling Shareholders shall have furnished to the Representatives their written opinionShareholders, dated as of the Closing Datesuch date, in the form and substance reasonably satisfactory to counsel for the Underwriters to the effect set forth on attached hereto as Exhibit D hereto B and to such further effect as counsel for the Underwriters may Representative shall reasonably request.

Opinion of Counsel for the Selling Shareholders. On the Closing DateXxxxx X. Xxxxxx, special counsel for each of the respective Selling Shareholders Shareholders, shall have furnished to the Representatives their Representatives, at the request of the Selling Shareholders, his written opinion, dated as of the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to counsel for the Underwriters Representatives, to the effect set forth on Exhibit D hereto and to such further effect as counsel for the Underwriters may reasonably requestin Annex C-4 hereto.

Opinion of Counsel for the Selling Shareholders. On the Closing DateXxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP, counsel for each of the respective Selling Shareholders Shareholders, shall have furnished to the Representatives Representatives, at the request of the Selling Shareholders, their written opinion, dated as of the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to counsel for the Underwriters to the effect set forth on Exhibit D hereto and to such further effect as counsel for the Underwriters may reasonably requestRepresentatives.

Opinion of Counsel for the Selling Shareholders. On the Closing DateAkin Gump Xxxxxxx Xxxxx & Xxxx, LLP, counsel for each of the respective Selling Shareholders Shareholders, shall have furnished to the Representatives their Representative, at the request of the Selling Shareholders, its written opinion, dated as of the Closing Date, and addressed to the Underwriters, in form and substance reasonably satisfactory to counsel for the Underwriters Representative, to the effect set forth on Exhibit D hereto and to such further effect as counsel for the Underwriters may reasonably requestin Annex A-3 hereto.

Opinion of Counsel for the Selling Shareholders. On the Closing Date or Option Closing Date, as the case may be, Hunton Xxxxxxx Xxxxx LLP, counsel for each of the respective Selling Shareholders Shareholders, shall have furnished to the Representatives Underwriters their favorable written opinion, dated as of the Closing Date or the Option Closing Date, as the case may be, in form and substance reasonably satisfactory to counsel for the Underwriters Underwriters, to the effect set forth on in Exhibit D B hereto and to such further effect as counsel for the Underwriters may reasonably request.

Opinion of Counsel for the Selling Shareholders. On the Closing DateXxxx Xxxxx LLP, counsel for each of the respective Selling Shareholders Stockholders, shall have furnished to the Representatives Underwriters, at the request of the Selling Stockholders, their written opinion, dated as of the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to counsel for the Underwriters Representatives, to the effect set forth on Exhibit D hereto and to such further effect as counsel for the Underwriters may reasonably requestin Annex A-3 hereto.
