Common use of Opinion of Counsel for the Placement Agent Clause in Contracts

Opinion of Counsel for the Placement Agent. The Placement Agent shall have received on and as of the Closing Date an opinion of Cadwalader, Xxxxxxxxxx & Xxxx LLP, counsel for the Placement Agent, with respect to such matters as the Placement Agent may reasonably request, and such counsel shall have received such documents and information as they may reasonably request to enable them to pass upon such matters.

Opinion of Counsel for the Placement Agent. The Placement Agent shall have received on and as of the Closing Date an opinion of Cadwalader, Xxxxxxxxxx & Xxxx Xxxxxxxx Chance US LLP, counsel for the Placement Agent, with respect to such matters as the Placement Agent may reasonably request, and such counsel shall have received such documents and information as they may reasonably request to enable them to pass upon such matters.

Opinion of Counsel for the Placement Agent. The Placement Agent shall have received on and as of the Closing Date an opinion of Cadwalader, Xxxxxxxxxx Xxxxxxxx Xxxx Xxxxxxxx Xxxxxx Xxxxxxxx & Xxxx LLPXxxxx P.C., counsel for the Placement Agent, with respect to such matters as the Placement Agent Alexander Capital may reasonably request, and such counsel shall have received such documents and information as they may reasonably request to enable them to pass upon such matters.

Opinion of Counsel for the Placement Agent. The Placement Agent shall have received on and as of the Closing Date an opinion of CadwaladerSzaferman Xxxxxx Xxxxxxxxx & Blader, Xxxxxxxxxx & Xxxx LLPPLC, counsel for the Placement Agent, with respect to such matters as the Placement Agent Alexander Capital may reasonably request, and such counsel shall have received such documents and information as they may reasonably request to enable them to pass upon such matters.

Opinion of Counsel for the Placement Agent. The Placement Agent shall have received on and as of the Closing Date an opinion of Cadwalader, Xxxxxxxxxx Xxxxxxxx Brog Leinwand Xxxxxx Xxxxxxxx & Xxxx LLPXxxxx P.C., counsel for the Placement Agent, with respect to such matters as the Placement Agent may reasonably request, and such counsel shall have received such documents and information as they may reasonably request to enable them to pass upon such matters.

Opinion of Counsel for the Placement Agent. The Placement Agent shall have received on and as of the Closing Date an opinion of Cadwalader, Xxxxxxxxxx from Dxxxx Xxxx & Xxxx Wxxxxxxx LLP, counsel for the Placement Agent, such opinion and 10b-5 letter, dated the Closing Date, with respect to such matters as the Placement Agent may reasonably requestrequire, and the Company shall have furnished to such counsel shall have received such documents and information as they may reasonably request to enable them it requests for the purpose of enabling it to pass upon such matters.

Opinion of Counsel for the Placement Agent. The Placement Agent shall have received on and as of the Closing Date an opinion of Cadwalader, Xxxxxxxxxx & Xxxx Dechert LLP, counsel for the Placement Agent, with respect to such matters as the Placement Agent may reasonably request, and such counsel shall have received such documents and information as they may reasonably request to enable them to pass upon such matters.

Opinion of Counsel for the Placement Agent. The Placement Agent shall have received on from Xxxxxx & Xxxxxx LLP and as of the Closing Date an opinion of CadwaladerXxxxxx, Xxxxxxxxxx Xxxx & Xxxx LLPXxxxxxxx, counsel for the Placement Agent, such opinion or opinions, dated such Closing Date, with respect to such matters as the Placement Agent may reasonably requestrequire, and the Company shall have furnished to such counsel shall have received such documents and information as they may reasonably request to enable for the purpose of enabling them to pass upon such matters.

Opinion of Counsel for the Placement Agent. The On the Closing Date, the Placement Agent shall have received on the written opinion and as negative assurance letter of the Closing Date an opinion of Cadwalader, Xxxxxxxxxx & Xxxx Xxxxxx LLP, counsel for to the Placement Agent, with respect to addressing such matters as the Placement Agent may reasonably requestrequire, and the Company shall have furnished to such counsel shall have received such documents and information as they may reasonably request to enable for the purpose of enabling them to pass upon such matters.
