Common use of Opinion of Counsel for Selling Stockholders Clause in Contracts

Opinion of Counsel for Selling Stockholders. The Representatives shall have received (i) an opinion, dated such Closing Date, of Fried, Frank, Harris, Sxxxxxx & Jxxxxxxx LLP, counsel for AEA EWT Holdings LP, in a form reasonably satisfactory to the Representatives, and (ii) an opinion, dated such Closing Date, of Fried, Frank, Harris, Sxxxxxx & Jxxxxxxx LLP, counsel for the Non-Sponsor Selling Stockholders, in a form reasonably satisfactory to the Representatives.

Opinion of Counsel for Selling Stockholders. The Representatives shall have received (i) an opinion, dated such Closing Date, of Fried, Frank, Harris, Sxxxxxx Xxxxxxx & Jxxxxxxx Xxxxxxxx LLP, counsel for AEA EWT Holdings LP, in a form reasonably satisfactory acceptable to the Representatives, and (ii) an opinion, dated such Closing Date, of Fried, Frank, Harris, Sxxxxxx Xxxxxxx & Jxxxxxxx Xxxxxxxx LLP, counsel for the Non-Sponsor Selling Stockholders, in a form reasonably satisfactory acceptable to the Representatives.

The Representatives shall have received (i) an opinion, dated such Closing Date, of Fried, Frank, Harris, Sxxxxxx Xxxxxxx & Jxxxxxxx Xxxxxxxx LLP, counsel for AEA EWT GMS Holdings LP, in a form reasonably satisfactory acceptable to the Representatives, and (ii) an opinion, dated such Closing Date, of Fried, Frank, Harris, Sxxxxxx Xxxxxxx & Jxxxxxxx Xxxxxxxx LLP, counsel for the Non-Sponsor Selling Stockholders, in a form reasonably satisfactory acceptable to the Representatives.

The Representatives shall have received (i) an opinion, dated such Closing Date, of Fried, Frank, Harris, Sxxxxxx Xxxxxxx & Jxxxxxxx Xxxxxxxx LLP, counsel for AEA EWT Holdings LP, substantially in a the form reasonably satisfactory to the Representativesattached hereto as Exhibit B, and (ii) an opinion, dated such Closing Date, of Fried, Frank, Harris, Sxxxxxx Xxxxxxx & Jxxxxxxx Xxxxxxxx LLP, counsel for the Non-Sponsor Selling Stockholders, substantially in a the form reasonably satisfactory to the Representatives.attached hereto as Exhibit C.
