Opinion of Counsel for Selling Stockholders. The Representatives shall have received an opinion, dated such Closing Date, of (1) Proskauer Rose LLP, counsel for the Solera Selling Stockholders, in the form set forth on Schedule H hereto, and (2) [—], counsel for the Non-Solera Selling Stockholders, in the form set forth on Schedule H-1 hereto.
