Common use of Opinion of Counsel for Selling Stockholders Clause in Contracts

Opinion of Counsel for Selling Stockholders. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Ropes & Gray LLP, counsel for the Selling Stockholders, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters.

Opinion of Counsel for Selling Stockholders. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Ropes & Gray LLPXxxxxxxxx, PC, counsel for the Selling Stockholders, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters.

Opinion of Counsel for Selling Stockholders. At the First Closing Time, the Representatives shall have received the favorable opinionopinions, dated the as of such Closing Time, of Ropes Xxxxxxx & Gray LLPXxxxxx, counsel for the Selling Stockholders, to the effect set forth in form Exhibit A-3 hereto, and substance to such further effect as counsel to the Underwriters may reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwritersrequest.

Opinion of Counsel for Selling Stockholders. At the Closing Time, the Representatives shall have received the favorable opinionopinions, dated the Closing Time, of Ropes Xxxx Xxxxxxxx LLP and Xxxx, Gotshal & Gray Xxxxxx LLP, counsel counsels for the Selling Stockholders, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters.
