Common use of Opinion of Counsel for Initial Purchasers Clause in Contracts

Opinion of Counsel for Initial Purchasers. The Initial Purchasers shall have received from Cravath, Swaine & Xxxxx LLP, counsel for the Initial Purchasers, such opinion or opinions, dated the Closing Date, with respect to such matters as the Initial Purchasers may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.

Opinion of Counsel for Initial Purchasers. The At the Closing Date, the Initial Purchasers shall have received from the opinion and negative assurance letter, dated as of the Closing Date, of Cravath, Swaine & Xxxxx LLP, counsel for the Initial Purchasers, in form and substance satisfactory to the Initial Purchasers, together with signed or reproduced copies of such opinion or opinions, dated and negative assurance letter for each of the Closing Dateother Initial Purchasers, with respect to such matters as the Initial Purchasers may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such mattersreasonably request.
