Common use of Opinion of Counsel for Borrower Clause in Contracts

Opinion of Counsel for Borrower. The Borrower shall deliver or cause to be delivered to the Agents and the Banks a favorable opinion of counsel for the Borrower as to the due authorization, execution and delivery, and legality, validity and enforceability of this Agreement and the Notes and such other matters as the Agents and the Banks may request.

The Borrower shall deliver or cause caused to be delivered to the Agents and the Banks a favorable opinion of counsel for the Borrower as to the due authorization, execution execution, and delivery, and legality, validity and enforceability of this Agreement Second Amendment and each other document or agreement delivered by the Notes Borrower to the Agent and/or the Banks contemporaneously herewith, and such other matters as the Agents and the Banks Agent may request.
