The 'Operations Managers' clause defines the roles, responsibilities, and authority of individuals designated as operations managers within an organization or under a contract. Operations Managers. (a) The Employer will apply a consistent and equitable approach to the distribution of group homes to ensure that operations managers are able to undertake their role and functions and manage their workload appropriately.
(b) Any proposal to change the current distribution of group homes to operations managers shall be subject to the consultation provision of this Agreement and then any dispute shall be resolved in accordance with the Disputes Settlement Procedure and consistent with Clause 28.5(a), Clause 6 Objectives and Clause 11 Transfer of Services.
Operations Managers. Each Operations Manager shall be an employee of Valero Services, Inc. (or an Affiliate thereof) and, subject to the power of the Board of Managers and the approval rights of the Members pursuant to Section 5.7, each Operations Manager shall have the general and active charge of the operations of the Facility to which he or she is assigned, and shall see that all orders and resolutions of the Board of Managers with respect thereto are carried into effect. Except as otherwise directed by the Board of Managers, each Operations Manager shall report to the President and shall have such other powers and perform such other duties as may be specifically assigned to him or her from time to time by the President or the Board of Managers or as may be provided in this Agreement or the Operations Agreement. At the request of the Board of Managers, either or both of the Operations Managers shall attend meetings of the Board of Managers, but neither shall be entitled to cast a vote on any matter discussed thereat.
Operations Managers. Each party will name a business manager who will act as primary contact for matters related to the day-to-day administration of this Agreement. The current operations managers for each party are shown in Exhibit A.
Operations Managers. 27.5.1 The department will apply a consistent and equitable approach to the distribution of group homes to ensure that operations managers are able to undertake their role and functions and manage their workload appropriately.
27.5.2 The parties note that as part of the organisational restructure it will require a realignment of the current clusters to ensure that the clusters align with the new areas. The department will commence a formal change process to implement this change. HACSU will have access to the dispute settlement procedure as part of this process.

Operations Managers. Each Party will also designate one or more individuals to serve as its local "Operations Managers" under this Agreement. Each Operations Manager’s primary responsibilities will be to support the Business Managers and facilitate relationship effectiveness and problem resolution. Issues that cannot be resolved by an Operations Manager may be escalated by either Party to the Business Managers. Either Party may assign a replacement individual to serve as an Operations Manager from time to time, provided that the Party assigning a replacement gives thirty (30) days’ advance notice (or as much advance notice as is possible under the {00295509.DOC;} circumstances, if less than thirty (30) days) of the replacement individual and obtains the other Party’s consent to the replacement, which consent shall not be unreasonably withheld.
