Operational Issues. 3.1 No Event of Default has occurred and is continuing or would result from the making of any payment of Allocated Grant Funding. 3.2 No other event or circumstance is continuing which constitutes (or with the giving of notice, the lapse of time, the determination of materiality or the fulfilment of any other applicable condition or any combination of the foregoing), would or could be expected to constitute a default by it (or to the best of its knowledge (having made all reasonable enquiries) by its Delivery Partners) under any other document or arrangement which is binding on it or its Delivery Partners or on any of its or their assets in any case to an extent or in a manner which has or could be expected to have a Material Adverse Effect.
