Operating Years the Operating Years shall coincide with, and be identical to, the calendar years. If this Agreement shall be terminated effective on a date other than December 31 in any year, then the partial year from January 1 of the year in which such termination occurs to such effective date of termination shall be treated as an Operating Year; references to "full Operating Years" shall mean those Operating Years which are co-extensive with full calendar years and shall exclude any partial Operating Year at the beginning or the end of the term of this Agreement.
Operating Years. Not later than 90 days before the commencement of each Operating Year beginning after Completion the Owner shall prepare and submit to the Operator an Annual Production Programme setting out, month by month, its desired production volumes and product grades for following Operating Year. The Annual Production Programme shall take into full account the agreed Plant capacity, annual shutdown arrangements required for maintenance or other purposes and the Operator’s responsibilities under this Agreement.
Operating Years. Each Annual Operating Plan and Budget shall also address each Project's interface requirements in relation to local utilities, proposed staffing levels and safety, regulatory and environmental compliance programs. Each Annual Operating Plan and Budget shall be prepared in good faith on the basis of written assumptions stated therein which the Borrower believes to be reasonable as to all factual and legal matters material to such estimates.
Operating Years. The Management Committee will review and vote on the Proposed Budget and the proposed Capital Expenses and Operating Expenses. If the Management Committee does not vote to approve a consolidated Proposed Budget, the E&O Committee will work with the Maintenance Provider and Control Center Authority to promptly re-submit a revised consolidated Proposed Budget to the Management Committee for its approval. Once the Management Committee approves a consolidated Proposed Budget, it will become the final budget (the “Final Budget”), which may only be amended by the further action of the Management Committee.
Operating Years. The first Operating Year shall be the period beginning on the Opening Date and ending on the following March 31. Subsequent Operating Years shall commence on April 1 of each year and end on March 31 of the following year.
