Common use of Ongoing Grants Clause in Contracts

Ongoing Grants. Each Nonemployee Director who both (a) is a Nonemployee Director on the last business day of a Fiscal Year, and (b) has served as a Nonemployee Director for at least six months (which includes such last business day), automatically shall receive, as of such last business day only, an Option to purchase 10,000 Shares.

Each Beginning in the 2004 Fiscal Year, each Nonemployee Director who both (a) is a Nonemployee Director on the last business day of a Fiscal Year, and (b) has served as a Nonemployee Director for at least six months (the entire Fiscal Year which includes such last business day), automatically shall receive, as of such last business day only, an Option to purchase 10,000 Shares.
