Common use of Ongoing Cooperation Clause in Contracts

Ongoing Cooperation. Following the Separation Date, Employee agrees to provide reasonable assistance to the Company as requested for a period of three (3) months, ending on December 17, 2021 (“Cooperation Period”), and agrees that the payment amounts set forth in the Transition Agreement exceed fair and reasonable consideration for such assistance. The Company will reimburse the Employee for any expenses that he reasonably incurs in connection with such cooperation. Employee and the Company agree to sign a form of release as set forth at Attachment B of the Transition Agreement following the completion of the Cooperation Period.

Ongoing Cooperation.
