Common use of Officer's Certificate of Owner Participant Clause in Contracts

Officer's Certificate of Owner Participant. On such Closing Date, Lessee, Owner Trustee, Indenture Trustee, and Loan Participants shall have received an Officer’s Certificate dated such date from Owner Participant, to the effect that the representations and warranties of Owner Participant contained in Section 3.6 are true and correct in all material respects on such Closing Date with the same effect as though made on and as of said date, except to the extent that such representations and warranties relate solely to an earlier date (in which case such representations and warranties were true and correct on and as of such earlier date), and that Owner Participant has performed and complied with all agreements and conditions herein contained which are required to be performed or complied with by Owner Participant on or before said date.
