Officers' Certificate as to Default. Unless otherwise specifically provided for with respect to any series of Debt Securities under Section 3.01, (a) the Company shall provide an Officers’ Certificate to the Trustee promptly upon any officer of the Company obtaining knowledge of any Default or Event of Default that has occurred and, if applicable, describe such Default or Event of Default and the status thereof and (b) the Company will deliver to the Trustee, on or before a date not more than four months after the end of each fiscal year of the Company ending after the date hereof, a certificate of the principal executive officer, principal financial officer or principal accounting officer of the Company stating whether or not to the best knowledge of the signer thereof the Company is in compliance with all covenants and conditions under this Indenture, and, if any Default or Event of Default shall have occurred, specifying all such Defaults and Events of Default and the nature thereof of which such signer may have knowledge. For purposes of this Section 12.02, such compliance shall be determined without regard to any period of grace or requirement of notice provided under this Indenture.
