Common use of Offering Period Clause in Contracts

Offering Period. The "Offering Period" shall mean that period during which any Shares are offered for sale, commencing on the date upon which the Memorandum is initially delivered to the Companies for distribution to Investors and continuing until the earlier of (a) the date on which subscriptions for the maximum number of Shares are accepted or (b) March 31, 1999, unless earlier terminated by the Companies, or unless further extended for 120 days by mutual agreement of the Companies and any of the Placement Agents, to time which the Company may extend the Offering without further notice to the Investors (the "Termination Date").

Offering Period. The "Offering Period" shall mean that period during which any Shares the Units are offered for sale, commencing on the date upon which of the Memorandum is initially delivered to the Companies for distribution to Investors and continuing until the earlier of for forty-five (a45) the days thereafter, or such later date on which subscriptions for the maximum number of Shares are accepted or (b) March 31, 1999, unless earlier terminated mutually agreed to by the CompaniesCompany and Placement Agent but not later than August 15, or unless further extended for 120 days by mutual agreement of the Companies and any of the Placement Agents, to time which the Company may extend the Offering without further notice to the Investors 2005 (the "Termination Date"); provided, however, that the Offering Period shall in all events terminate upon the sale of all of the Units.

The "Offering Period" shall mean that period during which any Shares the Units are offered for sale, commencing on the date upon which of the Memorandum is initially delivered to the Companies for distribution to Investors and continuing until March 1, 2006, or such later date mutually agreed to by the earlier of (a) the date on which subscriptions for the maximum number of Shares are accepted or (b) Company and Placement Agent but not later than March 31, 1999, unless earlier terminated by the Companies, or unless further extended for 120 days by mutual agreement of the Companies and any of the Placement Agents, to time which the Company may extend the Offering without further notice to the Investors 2006 (the "Termination Date"); provided, however, that the Offering Period shall in all events terminate upon the sale of all of the Units.

The "“Offering Period" ” shall mean that period during which any Shares the Units are offered for sale, commencing on the date upon which of the Memorandum is initially delivered to the Companies for distribution to Investors and continuing until April 15, 2005 (the earlier “Termination Date”); provided, however, that the Offering Period shall in all events terminate upon the sale of (a) the date on which subscriptions for the maximum number of Shares are accepted or (b) March 31, 1999, unless earlier terminated by the Companies, or unless further extended for 120 days by mutual agreement all of the Companies and any of the Placement Agents, to time which the Company may extend the Offering without further notice to the Investors (the "Termination Date")Units.

Offering Period. The "Offering Period" shall mean that period during which any Shares the Units are offered for sale, commencing on the date upon which the Memorandum is initially delivered to the Companies for distribution to Investors of this Agreement and continuing until the earlier of (ai) the date on which subscriptions for Maximum Amount is accepted by the maximum number of Shares are accepted Company or (bii) March October 31, 19992007, unless earlier terminated or such later date mutually agreed to by the CompaniesCompany and Placement Agent but not later than November 15, or unless further extended for 120 days by mutual agreement of the Companies and any of the Placement Agents, to time which the Company may extend the Offering without further notice to the Investors 2007 (the "Termination Date").
