Common use of Offering Period Clause in Contracts

Offering Period. The Offering Period shall commence on the effective date of the Registration Statement and will continue until the earlier of (i) the completion of the sale of all Securities in the Offering and (ii) the date that is thirty (30) calendar days following such effective date, unless such 30-day period is extended by the mutual written agreement of the Company and the Placement Agent for an additional period of up to thirty (30) calendar days from such date (the “Offering Period”). After the initial Closing, subsequent closings with respect to accepted subscriptions may take place at any time during the Offering Period in accordance with the Purchase Agreement.
