Common use of Offering Limitations Clause in Contracts

Offering Limitations. None of the Company or any of its Affiliates or any attorney, accountant, financial adviser or other representative (collectively, "Representatives") will solicit any offer to buy or offer to sell shares of Common Stock or securities convertible into or exchangeable for Common Stock by means of any form of general solicitation or general advertising (as such terms are used in Regulation D under the Securities Act) in any manner involving a public offering (within the meaning of Section 4(2) of the Securities Act) prior to the effective date of the Registration Statement.
